CONSTITUTION OF THE
WARREN WILSON COLLEGE
ALUMNI ASSOCIATION
The Alumni Association Consititution
To ensure that Warren Wilson College of Asheville, North Carolina may always have the support of a strong Alumni Association, the former students of Dorland-Bell School, Asheville Farm School, Mossop, Warren Wilson High School, Warren Wilson Junior College and Warren Wilson College establish themselves into such an organization according to this outlined constitution.
ARTICLE 1 - Name of the Organization
The name of the organization is Warren Wilson College Alumni Association.
The purpose of the association is to foster among Alumni a spirit of fellowship and service; to interpret Warren Wilson College to the community in which they live; to promote among alumni a continuous active interest and support of their Alma Mater; and to provide an organization through which Warren Wilson College can continue to offer educational and cultural advantages to its Alumni and the community at large.
ARTICLE 3 - Membership and Association
Former students of the Dorland-Bell School, Mossop, Asheville Farm School, Warren Wilson High School, Warren Wilson Junior College, and Warren Wilson College are members of the Association.
ARTICLE 4 - Board of Directors
- Section 1.
The Board of Directors consists of three classes with seven Alumni for each class.
- Section 2.
Each year a class of seven Alumni will rotate off the Board and will not be eligible for re-election to the Board for a period of one year.
- Section 3.
Each year a class of seven Alumni will be elected at the annual Alumni Association meeting to serve a three-year term on the Board of Directors.
- 3(b) Member Replacement: A member absent for more than one meeting a year in a term may be considered inactive. The Executive Committee by unanimous vote may declare the inactive member’s term to be "vacant".
- Section 4.
The membership will be provided the opportunity to submit names of alumni members for nominations. Members will be informed of the seven nominees prior to the annual meeting. Nominees presented on the ballot will reflect the membership of the Association as stated in Article 3.
- Section 5.
The immediate past President of the Alumni Association will serve as an ex-officio member of the Board of Directors for two years.
- Section 6.
- a) The graduating senior class may elect one of its graduates for a one year term.
- b) The senior class may elect from its membership a non-voting representative to the Board for the academic year.
- Section 7.
The Board of Directors will meet at least three times a year, at the summons of the President of the Association in accordance with the by-laws, at the time of the annual meeting and at other times as necessary for conducting business.
- Section 8.
- a) The Director of Alumni Relations will be an employee of the College. Designation of the Director will be made by the Board of Directors of the Association together with the President of the College, in accordance with the personnel policies of the College.
- b) The Director of Alumni Relations of Warren Wilson College will be a non-voting member of the Board and Executive Council of the Association.
ARTICLE 5 - Officers of the Association - Executive Council
- Section 1.
Officers of the Association will consist of President, President-Elect and Secretary. Each officer will serve a two-year term. Collectively, these officers will be called the Executive Council.
- Section 2.
The duties of the Executive Council will be to promote and carry out the program and projects approved by the Association.
- Section 3.
A nominating committee, designated by the Executive Council, will make nominations for the Executive Officers prior to the annual meeting. Association members may make recommendations to the nominating committee.
ARTICLE 6 - Duties of the Officers
- Section 1.
The President will preside at all meetings of the Executive Council, Board of Directors, and preside at the annual Alumni Association meeting.
- Section 2.
The President-Elect will preside in the absence of the President and when authorized to do so by the President. The President-Elect will automatically succeed the President.
- Section 3.
The Secretary, in conjunction with the Director of Alumni Relations, will record minutes of all authorized meetings.
- Section 4.
The Executive Council will appoint members to fill vacancies on the Board and establish all committees and their chairpersons.
ARTICLE 7 - Duties of the Board of Directors
- Section 1.
The Board will handle all preliminary business of the Association and make recommendations to the Association.
- Section 2.
The Board will support the Executive Council in carrying out the activities of the Association.
ARTICLE 8 - Standing Committees
- Section 1.
The Executive Council will establish Alumni Board Standing Committees appropriate to meet the needs of the Association.
- Section 2.
The Executive Council may appoint ad-Hoc Committees.
ARTICLE 9 - Meeting of the Association
There will be an annual meeting of the Association at Homecoming.
Robert's Rules of Order Newly Revised will be the guide in the conduct of all meetings.
ARTICLE 11 - Changes in the Constitution and by-laws
- Section 1.
All suggested changes in the constitution and by-laws must be submitted to a member of the Executive Council. The Executive Council will appoint a constitution committee to review and make recommendations on all suggested changes.
- Section 2.
The constitution committee will submit all Board-approved changes to the membership prior to the annual meeting.
- Section 3.
A two-thirds majority vote of the Members of the Association, present at the annual meeting, will be necessary to change the Constitution
- Section 4.
A majority vote of the members of the association, present at the annual meeting, will be necessary to change the by-laws.

The Board membership will reflect the make up of the Association and represent all former students of the institution as much as possible.
The President of the Association serves as ex-officio on the Warren Wilson College Board of Trustees.
The Board will meet at the time of the annual meeting, at a summer meeting, at a fall meeting after the annual meeting and at other times as necessary for conducting business.
The elections of officers (Executive Council) of the Association will take place at the time of the annual meeting. The election of Board members of the Association will take place at the time of the annual meeting.
Membership on committees need not be limited to Board members.
The job description for the Director of Alumni Relations will be attached to the official copy of the Constitution and By Laws.

The Executive Council has established the following Standing Committees in order to keep the Board of Directors informed on significant issues relevant to Association interests. Each committee will make recommendations for the consideration of the Board of Directors.
1. The Committee on Buildings and Grounds
This committee will review and monitor issues involving the physical plant of Warren Wilson College with special interest dedicated to the long range planning of campus facilities and land use.
2. The Committee on Education
This committee will review and monitor matters of policy associated with the academic, work and service programs.
3. The Committee on Student Affairs
This committee will focus on the status of student mentoring, alumni contacts, counseling and guidance towards career resources and job placement.
4. The Committee on College Relations
This committee will review, monitor and participate (where appropriate) in the long-range financial development and public relations of Warren Wilson College. This committee consists of three subcommittees as follows:
- Development and Finance
- Distinguished/Service Alumni
- Homecoming/Reunions
5. Alumni Board Development and Nominating Committee
This committee will be responsible for nominating candidates for vacancies on the Board and for nominating officers. It will maintain a list of potential new Alumni board members and participate in the orientation of newly selected members.
